Confidentiality and Non-Disclosure Agreement (CNDA)
Effective Date: September 1, 2022
Last Updated: Novembe
r 15, 2023

o

Affix Graphic Design & Proofreading is committed to protecting the privacy and rights of our clients and the confidentiality of their information. Our Confidentiality and Non-Disclosure Agreement (CNDA) is sent to all potential clients before all types of confidential materials including, but not limited to, design briefs, images, sketches, handwritten notes, outlines, and requested writing samples for proofreading are sent to Affix for review and pricing. Upon request and with your consent, we will send the Affix interactive CNDA PDF file for you to read, e-sign, and return to us. You will automatically receive an email copy of your files.

O

Once we have this signed CNDA agreement in our files, we will send you instructions on how to upload files to our secure portal. This CNDA will cover sample materials we initially request for review and the subsequent related project they relate to when you decide to hire Affix. You may request a CNDA by checking the box on our Contact Form, emailing: leighann@affixgraphicdesignandproofreading.com, or calling (805) 269-0303.

O

Please note: We do not open unsolicited email attachments or physically delivered files, and no reply will be sent without a e-signed CNDA. These are cyber security measures taken for our clients and Affix Graphic Design & Proofreading.

Pricing & Payment Policies

Effective Date: September 1, 2022

Last Updated: November 15, 2023

o

Estimated Price Quote Agreement and Payments

An estimated price quote agreement for Affix services, based on your design brief or proofreading writing sample and order form, will be sent for your acceptance and signature upon your request. Work will be scheduled with Affix when we have received your signed agreement to the estimated price quote and a 50% initial payment has been made.

o

The release of the first annotated proofreading file, generated by agreement between Affix Graphic Design & Proofreading and its client, for review by that client will be activated solely upon the entire payment of the project’s final invoice.

o

The release of any and all final graphic design artwork files generated by agreement between Affix Graphic Design & Proofreading and its graphic design client will be activated solely upon the entire payment of the project’s final invoice.

o

For complex, lengthy, ongoing, or repeating projects, Affix Graphic Design & Proofreading may create weekly, bimonthly, or monthly payment invoice schedules for clients with good credit.

o

Affix Graphic Design & Proofreading invoices are generated at PayPal.com. Payments to Affix may be made through your PayPal account. Credit or debit cards are accepted at PayPal.com. For more information about payment instructions, see our FAQ page.

o

Second Pass Proofreading

Affix proofreading projects include one “second pass.” A second pass is when an Affix client submits a saved copy of their corrected document back to Affix for a final check to ascertain that all the client’s accepted corrections have been made. We will notify our client of any issues found in the second pass so they have the opportunity to make any further corrections.

o

Media and Print Buying Markups

Affix does not mark up media or print buying to avoid conflicts of interest; our priority in all aspects of our work is doing what is best for our clients. We do charge for these services by the hour, as listed in the Graphic Design Fees section above. This is different than design project buyouts and materials charges, which are cost plus 10 percent.

o

Change Orders

All dates, timetables, and pricing in signed project agreements are subject to change orders when an Affix client makes changes to a project’s specifications, direction, or parameters.

o

Express Service

Affix has an Express Service for proofreading and small design jobs when clients require a specific, tight deadline. An Express Service charge of 25 percent will be added to the final total of the amount charged for the job to meet tight deadlines. Affix endeavors to accommodate requests for Express Service; however, it is not always possible and we reserve the right to decline any request.

o

Digital File Ownership

All digital files generated in accordance with a signed agreement between Affix Graphic Design & Proofreading and its client remain the property of Affix Graphic Design & Proofreading unless specified otherwise in the agreement between the two parties and on the client’s billing invoice(s).

If a client want to own the digital files and have them transferred, Affix may charge for time and materials for the transfer, depending on the circumstances, but this is a California sales tax law issue, which is explained in detail here: https://www.cdtfa.ca.gov/lawguides/vol1/sutr/1543.html.
